Mr. Fogassa has a 16-year career in private equity/venture capital and public equity investments. He has extensive direct investing experience, including cross-border deal structuring, due diligence, management build-up, and Board of Directors oversight. He was born and raised in Brazil, and speaks Portuguese fluently.
Mr. Fogassa is frequently invited as an international speaker on Brazilian issues, and has written an open-ed in one of Brazil’s foremost newspapers. Mr. Fogassa has worked at Goldman Sachs & Co. and in venture capital and private equity, and has been a director on the Board of several private companies.
Mr. Fogassa double-majored at the Massachusetts Institute of Technology, earning Bachelor of Science degrees in Electrical Engineering and Biology. He subsequently graduated from the Harvard Medical School with a Doctor of Medicine degree and later from the Harvard Business School with a Master in Business Administration degree. He was elected to Tau Beta Pi, Eta Kappa Nu, and Sigma Xi honor societies.
RAFAEL NOGUEIRA BRANDÃO
Chief Mining Engineer
Mr. Brandão has a high degree of expertise in the financial aspects of mining processes, which uniquely helps Brazil Minerals, Inc. as it seeks the highest return on its assets and working capital. Prior to BMIX, he worked for an investment fund, FIP Biogold, with various gold projects in Brazil. Previously, Mr. Brandão was an engineer at MMX Mineração. He has extensive knowledge of the policies of the Brazilian national mining department. Mr. Brandão graduated with a Bachelor in Mining Engineering from the Universidade Federal de Minas Gerais.
MÁRCIO ADRIANI FONSECA
Director, Diamond and Gold Operations
Mr. Fonseca is responsible for supervision of the excavation of the various diamond and gold alluvial fronts, recuperation and renewal of explored areas, and final diamond and gold processing at the BMIX plant. He has over ten years of experience in all aspects of operations and environmental regulations for alluvial gold and diamond mining. Mr. Fonseca has a degree in Forest Engineering from the Universidade Federal dos Vales do Jequitinhonha e Mucuri – UFVJM, and several advanced courses completed.
JOSÉ ALENCAR FRANCESCATTO
Mr. Francescatto has over 36 years of experience as an geologist in Brazil. He has extensive experience with alluvial diamonds and gold in the areas where BMIX operates. Additionally, he has expertise with projects in primary gold, phosphate, sand, and other minerals. In particular, Mr. Francescatto was Chief of the Department of Geology for Mineração Tejucana S/A, the predecessor to RST Recursos Minerais Ltda, now a subsidiary of BMIX. He graduated from Universidade do Vale do Rio dos Sinos in Brazil with a Bachelor degree in Geology.
JAY WEIL, ESQ.
General Counsel, U.S.
Mr. Weil has more than 36 years of legal experience, having represented public and private companies and individuals in a wide range of business transactions and securities laws compliance matters. He has experience on virtually every aspect of corporate and securities law, including the preparation of contracts and SEC filings, advice on the law, and development of strategies regarding business terms of deals. Mr. Weil also handles all phases of both public offerings and private placements of securities as well as reverse mergers and secured and unsecured debt financing. He has also experience in mergers and acquisitions.
Mr. Weil has worked on BMIX matters since December 2012. Previously, Mr. Weil was a securities and corporate partner with the New York office of Wolf, Block, Schorr and Solis-Cohen, then a regional law firm with more than 200 attorneys, and prior to that a partner in a 30-attorney firm. Mr. Weil began his career as an associate in the corporate securities practice of Shea & Gould in New York, New York. Mr. Weil has a J.D. from the NYU School of Law, and a B.A. from Binghamton University.
ANA CLARA ALVES VOGLER, J.D.
General Counsel, Brazil
Mrs. Vogler has 15 years of experience as a Brazilian attorney specializing in corporate contracts and tax laws, and with further experience in labor law. She is licensed with Brazil’s Bar (OAB-RS) and also approved by the State Bar of California to practice Brazilian law in the U.S. Her clients include companies and individuals with businesses in Brazil. Mrs. Vogler was chief legal counsel to a well-known and respected Brazilian congressman, deputado federal Nelson Marchezan Júnior. She has argued cases at appelate Courts, including the Brazilian Supreme Court (Supremo Tribunal Federal).
Mrs. Vogler has a Master’s degree in Law Pontifícia Universidade Católica do Rio Grande do Sul (PUCRS), Brazil. Her undergraduate degree in Law is also from PUCRS. In addition, she pursued further specialization in business and tax law.
